Key takeaways

  • On 14 October 2026, SEBI released a consultation paper proposing changes to SME IPO eligibility, investor participation and post-listing requirements.
  • Proposed thresholds include a ₹1,000 crore post-issue market-capitalisation boundary and an optional SME route for certain companies valued up to ₹4,000 crore.
  • The regulator has proposed reducing the minimum SME IPO application value from ₹2 lakh to ₹1 lakh, while strengthening other safeguards.
  • A higher operating-profit test and a minimum of 500 allottees are among the ideas under consideration. These are proposals, not rules already in force.

Why SEBI is reviewing the SME IPO framework

India’s SME platforms have become an important fundraising route for growing businesses that may not be ready for the mainboard. They also attract retail investors seeking exposure to smaller companies. That combination creates a difficult regulatory balance: businesses need practical access to capital, while investors need credible disclosures, suitable listing standards and safeguards against manipulation or inadequate liquidity.

The Securities and Exchange Board of India published a consultation paper on 14 October 2026 reviewing provisions of its Issue of Capital and Disclosure Requirements Regulations, 2018. The paper asks whether the existing criteria still capture the economic size of issuers and whether certain rules should be strengthened or simplified. It is not a final circular that immediately changes the eligibility of every SME applicant.

Market capitalisation could replace the paid-up-capital test

The proposed ₹1,000 crore and ₹4,000 crore thresholds

Under the proposals described in the consultation, companies with post-issue market capitalisation of up to ₹1,000 crore would be directed to the SME platform. Businesses valued above ₹1,000 crore and up to ₹4,000 crore could have an option to list on the SME platform, subject to additional requirements. The regulator is considering whether valuation is a more meaningful measure of a company’s size than its nominal paid-up equity capital.

Paid-up capital and market capitalisation measure different things. Paid-up capital reflects the nominal value of issued equity. Market capitalisation is the number of shares multiplied by the relevant share price. A company with a low face value and a high market valuation can therefore appear small under one measure but large under the other. That mismatch is one reason the regulator is reviewing the framework.

Why the change matters to issuers

An issuer may need to reassess its intended listing platform, disclosures, underwriting and investor mix. The proposed optional band could provide flexibility to certain growing companies, but it should not be read as automatic eligibility. Final criteria, financial reporting requirements and exchange rules will matter. Companies planning a public issue should seek professional advice rather than restructure their capital on the assumption that the consultation will be adopted unchanged.

Proposed profitability requirement

The review contemplates an average operating profit of at least ₹3 crore a year over the preceding three financial years, compared with the currently reported ₹1 crore test in at least two of three years. The objective is to raise the financial track record expected from companies using the SME IPO route. Operating profit is not the same as net profit after tax, and it should not be substituted casually when assessing eligibility.

The proposal also discusses an alternative for companies that do not meet the standard profitability condition. Under that route, at least 75% of the offer would need to be allocated to qualified institutional buyers, subject to the final design and other conditions. The presence of institutional investors does not make a business risk-free, but it can add a different layer of market scrutiny.

Would retail investors need only ₹1 lakh to apply?

Lower entry value, not lower investment risk

SEBI is considering a reduction in the minimum application value from ₹2 lakh to ₹1 lakh. Reports describing the consultation say the proposed structure would use a ₹25,000 lot and a minimum of four lots for an application. A lower initial commitment could broaden access, particularly for investors who find the current ticket size prohibitive.

However, a smaller ticket is not a safety certificate. SME stocks can experience limited trading volumes, wider bid-ask spreads, concentrated ownership and abrupt price moves. Investors should evaluate business quality, cash flow, promoter history and offer pricing before applying. A lower minimum investment may reduce the rupee amount committed to one application but does not guarantee allotment or profitable exit.

More allottees proposed

The consultation also proposes increasing the minimum number of allottees in an SME public issue from 200 to 500. A broader shareholder base may improve distribution of shares, although actual liquidity will still depend on trading interest after listing. Investors should distinguish the number of allottees from the number of bids received during subscription.

Other proposed changes

The consultation covers promoter and non-promoter lock-in periods, the use of IPO proceeds for general corporate purposes, offer-for-sale arrangements, underwriting and market-making requirements. One reported proposal would remove the absolute ₹10 crore cap on general corporate purposes while retaining a percentage-based limit. These technical provisions can affect how founders, existing investors and new shareholders participate in an issue.

The implications differ across stakeholders. A founder may focus on lock-in obligations, an institutional investor on exit flexibility, and a retail applicant on allotment and liquidity. That is why the consultation should be read as a package rather than as a single headline about the minimum application amount.

What happens before any rule change?

SEBI has invited stakeholder comments on the proposals, with 4 November 2026 reported as the consultation deadline. The regulator can retain, revise or reject individual recommendations after considering feedback. Any binding amendment would need to be communicated through the appropriate regulatory instrument. Until then, investors and issuers should follow the currently applicable framework and the offer documents for each specific IPO.

For companies preparing an issue, the sensible next step is to map which proposed provisions could affect eligibility, offer structure and documentation. For investors, the sensible step is to understand the difference between a consultation paper, an approved regulation and a live IPO prospectus.

Frequently asked questions

Has the minimum SME IPO application already fallen to ₹1 lakh?

No. The ₹1 lakh threshold is a proposal in the October 2026 consultation. Check the final SEBI notification before treating it as operative.

Will all SME companies need ₹3 crore net profit?

The discussed measure concerns operating profit and includes a possible alternative institutional route. It should not be described simply as a universal net-profit requirement.

Is a ₹1,000 crore company automatically eligible to list?

No. Market capitalisation is only one part of a broader eligibility and disclosure framework.
